Understanding Delistings

Mergers and Acquisitions

When companies merge or are acquired, their stocks often cease trading on public exchanges. These events are typically not announced with significant advance notice. Instead, hints may appear in quarterly reports or SEC filings that suggest a merger or acquisition might occur in an upcoming quarter. Once completed, the stock is no longer tradeable, and our oracle service cannot provide further data for it.

Other Common Delisting Scenarios

Several other events can lead to stocks being removed from exchanges like NASDAQ or NYSE:

  • Regulatory Non-Compliance: Companies failing to meet minimum listing requirements (market cap, share price, etc.)
  • Bankruptcy Proceedings: Chapter 7 or Chapter 11 filings often lead to delisting
  • Voluntary Delisting: Companies may choose to go private and delist their shares
  • Exchange-Initiated Delistings: Exchanges may delist companies for rule violations
  • Reverse Mergers: When a private company acquires a public shell company
  • Corporate Restructuring: Major reorganizations that affect public trading status

Impact on Oracle Services

When a stock is delisted, regardless of the reason, our oracle can no longer provide price data for it. This is because the security no longer trades on public exchanges where reliable price discovery occurs. We monitor SEC filings and other official sources to anticipate these events, but the exact timing can be unpredictable.
